Terms of Service

1. Agreement to Terms

By accessing or using Noctin Media's website, services, tools, and related content (collectively, the "Services"), you agree to these Terms of Service. If you do not agree, do not use the Services.

2. Services

Noctin Media provides social media distribution, marketing strategy, campaign management, and related consulting services. Any scope, deliverables, timelines, and pricing are defined separately in client agreements or written statements of work.

3. Eligibility and Acceptable Use

You must use the Services only for lawful purposes and in compliance with all applicable laws, regulations, and platform terms (including social media platform policies and developer terms). You may not use the Services to engage in fraud, impersonation, harassment, unlawful surveillance, or any deceptive or abusive conduct.

4. Accounts and Security

If you provide account access, API credentials, or platform tokens, you represent that you are authorized to do so. You are responsible for the security of your credentials and for activity occurring under your accounts.

5. Client Content and Rights

You retain ownership of content you submit. You grant Noctin Media a limited license to use your content solely to perform agreed services. You represent that your content does not infringe third-party rights.

6. Intellectual Property

Except for client-owned materials, all website content, branding, methodologies, and service materials provided by Noctin Media are owned by Noctin Media or its licensors and are protected by applicable law.

7. Fees and Payment

Fees, invoicing schedules, and payment terms are defined in your written agreement. Late payments may result in service suspension where permitted by law and contract.

8. Third-Party Platforms and Tools

Services may rely on third-party platforms, including social media APIs, ad networks, analytics providers, hosting services, and software tools. Noctin Media is not responsible for third-party outages, policy changes, account actions, or service interruptions.

9. Disclaimer of Warranties

The Services are provided "as is" and "as available." To the maximum extent permitted by law, Noctin Media disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

10. Limitation of Liability

To the maximum extent permitted by law, Noctin Media will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, goodwill, or business opportunities. Total liability for direct damages will not exceed the amount paid by you for services in the 3 months before the claim.

11. Indemnification

You agree to indemnify and hold harmless Noctin Media from claims, losses, and expenses arising from your content, your use of the Services, your violation of these Terms, or your violation of applicable law or third-party rights.

12. Termination

Noctin Media may suspend or terminate access to the Services for violation of these Terms, legal risk, or security concerns. Sections that by nature should survive termination will survive.

13. Governing Law

These Terms are governed by applicable laws of the jurisdiction in which Noctin Media is established, without regard to conflict of law principles.

14. Changes to Terms

We may update these Terms from time to time. Updated versions are effective when posted on this page with a revised effective date.
